E-Stamp and E-Sign in India: A Step-by-Step Workflow for Business Agreements

Businesses often treat stamping and signing as one action, but they solve different requirements. In the e-stamp and e-sign in India workflow, the e-stamp records payment of the applicable stamp duty, while the e-signature records a party’s approval or execution of the agreement. Completing one step does not automatically complete the other.

The correct route depends on the document, the state connected with the transaction, the parties and any registration or witnessing requirements. Teams should confirm these points before sending an agreement for signature.

Why e-stamping and e-signing are separate

Stamp duty is a tax applied to specified transaction documents. An e-stamp is a digital method of paying and recording that duty. It does not show that every party has accepted the agreement.

An e-signature or digital signature records the signer’s action on an electronic document. The Controller of Certifying Authorities describes eSign as an online electronic-signature service that authenticates the signer and applies a digital signature. Its process can also preserve a digital audit trail. CCA

Think of a ticketed event. Paying for the ticket gives you permission to enter, while checking in confirms that you attended. The two records relate to the same event, but each performs a different job.

Step-by-step: e-stamp and e-sign in India

1. Identify the document and transaction

Start by naming the document correctly. A service agreement, lease, indemnity, power of attorney and transfer document may follow different rules. Record the parties, transaction value, execution location and purpose.

Do not assume that every agreement qualifies for electronic execution. Some documents require registration, witnesses, notarisation or physical handling. Ask a qualified legal professional to confirm the document-specific route.

2. Confirm the applicable state and stamp duty

The Department of Revenue explains that stamp duty on most instruments is levied and collected by the states. Rates, document categories and payment procedures can therefore differ. DOR

Confirm the relevant state, the correct article or document category, the duty amount and whether the agreement requires registration. Use the latest state government guidance or an authorised channel. Avoid copying the duty amount from an older agreement because rates and rules can change.

3. Obtain and verify the e-stamp

Purchase the e-stamp through the route approved for the relevant state. Enter the parties’ names, document description, consideration and duty amount carefully. A mismatch can create correction work later.

Check the certificate number, issue date, purchaser details, party details and paid amount. Follow the approved process for attaching or associating the e-stamp with the agreement. Keep the payment receipt and verification record with the transaction file.

4. Prepare the final signing copy

Lock the approved agreement version before routing it. Confirm that the e-stamp, schedules, annexures and referenced documents belong to the same transaction. Add the correct signer roles and make essential fields mandatory.

For example, a service agreement may need the vendor’s authorised representative to sign first, followed by the customer’s authorised signatory. Another agreement may allow both parties to sign in parallel. Choose the order based on the actual approval requirement.

5. Complete signer verification and execution

Send the document through the selected signing method. Each signer should review the complete agreement, give consent and complete any required identity check.

The signing record should connect each person with the correct document version and action. If the agreement changes after one party signs, revoke the outdated request and issue the corrected version through a controlled process.

6. Verify and store the completed agreement

After every party finishes, download the completed agreement and its evidence package. Check that all signatures validate, the e-stamp details match the agreement, every mandatory field is complete and the audit trail shows the expected sequence.

Store the agreement, e-stamp certificate, duty receipt, completion certificate and audit record together. Apply access controls, retention rules and a consistent file name so legal and finance teams can retrieve the complete set later.

Final review checklist

  • Is the document eligible for electronic execution?
  • Which state’s stamp rules apply?
  • Is the stamp duty amount current and correct?
  • Does the document require registration, witnessing or notarisation?
  • Do the e-stamp details match the final agreement?
  • Does every signer have authority to sign?
  • Is the signing order correct?
  • Are the completed agreement and audit records stored together?

Keep the two steps connected

E-stamping and e-signing can support a faster agreement process when teams plan them as separate but connected stages. First confirm the duty and document requirements. Then obtain the correct e-stamp, route the final document, verify the signatures and retain the full evidence package.

SignuluOne Signing Solutions can help teams route agreements, manage multiple signers and retain audit records. Its Trust Centre explains the platform’s security controls and transaction evidence.

Always confirm stamp duty, registration and execution requirements with a qualified legal professional before proceeding.
