Can Board Resolutions and Corporate Approvals Be Signed Digitally in India?

Yes, businesses in India can use digital processes for many board resolutions and corporate approvals. However, a digital signature for board resolutions does not automatically make every document compliant.

The company must still follow the Companies Act, applicable rules, Secretarial Standards, its Articles of Association and document-specific filing requirements. The signer must also possess the authority to approve or execute the document.

When can a digital signature for board resolutions be used?

A digital approval process may support several corporate records, including:

  • Board and committee resolutions
  • Resolutions passed by circulation
  • Director declarations and disclosures
  • Banking and borrowing approvals
  • Authorised-signatory documents
  • Certified extracts of approved resolutions
  • Agreements executed after board approval

Section 175 of the Companies Act, 2013 permits certain board and committee resolutions to be passed by circulation. The draft resolution and supporting papers must reach every eligible director, and the required majority must approve it.

If one-third of the directors entitled to vote request that the matter be discussed at a meeting, the chairperson must place it before the Board instead. Technology can deliver and track the resolution, but it cannot bypass this governance requirement.

Approval, execution and filing are different stages

2. Document execution

3. Statutory filing

Uploading a digitally approved board resolution does not replace the required form, certification, attachments or filing deadline. The company secretary should verify the complete filing requirement before submission.

Build accountability into the approval process

  • Which directors can review and vote
  • Whether any director has disclosed an interest
  • What approval threshold applies
  • Who can sign the final document
  • Which signature method is required
  • What evidence must be retained

These records support accountability, but they do not correct an invalid approval process or give authority to an unauthorised signer.
